1. Introduction

Inloher Corp (hereinafter, “Inloher”) is an independent licensed dealer in the State of Florida and an authorized broker of Copart. Inloher owns and operates the website www.SalvageReseller.com (hereinafter, “the Site”). The Site is an online platform that allows registered users to access vehicle auctions organized by Copart, with Inloher acting as an authorized intermediary.

These Terms and Conditions (“Terms”) govern the access and use of the Site and the services provided by Inloher. By registering, creating an account, or using the platform, you acknowledge that you have read, understood, and fully accepted these Terms. These Terms constitute a legally binding contract between the buyer (“you” or “member”) and Inloher.

If you do not agree with these Terms, you must refrain from registering or using our services. Continued use of the platform implies acceptance of all conditions described herein.

Inloher reserves the right to modify these Terms at any time. Modifications will be effective upon their posting on SalvageReseller.com. In the event of significant changes, Inloher will notify registered users via email or a prominent notice on the Site. Continued use of the platform after the effective date of such changes constitutes acceptance of them.

In case of any discrepancy between the Spanish and English versions of these Terms, the English version shall prevail as the official and binding reference.

Non-binding Summary (for ease of reading only)

This summary is for informational purposes only. In case of any discrepancy with the full clauses of these Terms, the detailed text shall always prevail.
  1. Final Purchases: All vehicles are sold “As-Is, Where-Is” (as is, where they are), without any warranties.
  2. Payments: Full payment for each vehicle must be received within 3 business days, including the auction day.
  3. Cancellation: If payment is not made within a maximum of 7 calendar days, the sale is canceled, and the security deposit is forfeited.
  4. Deposits: To bid, you must maintain a minimum security deposit of USD $600. This deposit allows bidding up to USD $6,000. For higher amounts, the deposit must increase proportionally at a rate of USD $100 per additional USD $1,000.
  5. Additional Fees: Inloher fees, Copart fees, storage fees, title fees, environmental fees, and others may apply.
  6. Transportation: The buyer is responsible for removing or transporting the vehicle and assumes all associated risks.
  7. Abandonment: If the vehicle is not removed within 30 days, it will be considered abandoned and may be disposed of to cover expenses.
  8. Dispute Resolution: All disputes will be resolved through binding arbitration in Broward, Florida, with a waiver of jury trials and class actions.
  9. Terms Updates: Inloher may modify these Terms, and continued use of the Site constitutes acceptance of the changes.

2. Important Notice on Dispute Resolution

THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE, A WAIVER OF JURY TRIAL, AND A WAIVER OF CLASS ACTIONS.

BY ACCEPTING THESE TERMS AND USING THE SITE, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH INDIVIDUAL ARBITRATION AND WAIVE THE RIGHT TO FILE OR PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS.

2.1 Dispute Resolution by Arbitration

Any controversy, claim, or dispute between you and Inloher related to these Terms, the use of the Site, or any transaction conducted through SalvageReseller.com will be resolved exclusively and finally through binding arbitration, administered by the American Arbitration Association (AAA) in accordance with its current commercial arbitration rules.

The arbitration will be conducted in Broward County, Florida, in English or Spanish as deemed appropriate. Each party will be responsible for its own costs and legal fees, unless otherwise provided by applicable law or the arbitration award.

2.2 Waiver of Jury Trial

You and Inloher expressly agree to waive the right to submit any dispute covered by these Terms to a jury trial.

2.3 Waiver of Class Actions

Arbitration will be conducted solely on an individual basis. You and Inloher agree that claims may not be consolidated or joined with those of other buyers, nor may class actions, representative actions, or collective proceedings be brought against Inloher.

2.4 Maximum Period for Initiating a Claim

Any claim, arbitration, or action related to the use of the Site, these Terms, or any transaction conducted through SalvageReseller.com must be initiated within twelve (12) months from the event giving rise to the claim. After this period, the action will be permanently barred, regardless of what the law provides.

2.5 Limited Exceptions

Nothing in this clause prevents Inloher from pursuing legal actions to collect outstanding payments, recover retained deposits, enforce liens, execute arbitration awards, or obtain immediate injunctive relief to protect its rights.

3. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings indicated below. When used in the singular, they include the plural and vice versa.

3.1. “Inloher” or “the Company”

Refers to Inloher Corp, an independent licensed dealer in the State of Florida and an authorized broker of Copart, owner and operator of the website SalvageReseller.com.

3.2. “Site” or “Platform”

Refers to the website www.SalvageReseller.com and all digital services provided by Inloher to buyers for accessing Copart vehicle auctions.

3.3. “Buyer,” “User,” or “Member”

Any individual over 18 years of age or legally constituted entity that registers on the Site, maintains an active membership, and participates in vehicle auctions through SalvageReseller.com.

3.4. “Membership”

The right granted by Inloher to the buyer to use the Site and participate in auctions, subject to payment of applicable fees and compliance with these Terms. Includes Free Membership, Monthly Membership, and Annual Membership.

3.5. “Security Deposit”

A monetary amount that the buyer must maintain in their account with Inloher as a guarantee of payment obligations. This deposit is not applied to the vehicle price unless Inloher decides to use it to cover breaches, penalties, or outstanding charges.

3.6. “Auction”

A public vehicle sale organized by Copart, in which Inloher participates as an authorized broker on behalf of buyers registered on the Site.

3.7. “Preliminary Bid” or “Pre-bid”

A bid placed by a buyer during the pre-auction stage through the Site or Copart’s platform.

3.8. “Live Auction”

The real-time auction stage broadcast by Copart, during which buyers can bid simultaneously.

3.9. “Buy It Now”

An option offered by Copart through the Site that allows the buyer to purchase a vehicle immediately at a fixed price without waiting for the live auction.

3.10. “Gate Fee” or “Gate Fee”

A fee charged by Copart for processing the release of a sold vehicle from its yard or facility.

3.11. “Storage”

A daily fee charged by Copart to the buyer when the awarded vehicle is not removed within the established free period.

3.12. “Transferable Title”

A vehicle ownership document that can be reassigned to the buyer and used for registration with the relevant authorities. Includes clean titles, salvage titles, or non-clean titles, as classified by each state.

3.13. “Abandonment”

A situation in which a vehicle is not removed by the buyer within thirty (30) calendar days following the auction, authorizing Inloher and/or Copart to dispose of it in accordance with the law to cover storage, removal, and other outstanding costs.

4. Eligibility and Membership

4.1 Eligibility Requirements

Only individuals over 18 years of age with legal capacity to contract, or duly constituted legal entities, may register on the Site. Inloher reserves the right to request additional documentation to verify the applicant’s identity, capacity, or legal representation, as well as to reject or cancel any registration at its sole discretion.

4.2 Available Memberships

Inloher offers three types of membership, each with different rights, limitations, and fees:

  • Free Membership (Basic): No registration or renewal fee. Broker fees: USD $299 or 10% of the vehicle’s sale price (whichever is greater), plus Copart fees.
  • Monthly Membership: Non-refundable fee of USD $34.99 per month, automatically renewed every 30 days unless canceled. Broker fees: USD $249 or 7% of the vehicle’s
  • Annual Membership: Non-refundable fee of USD $189.99 per year, automatically renewed every 12 months unless canceled. Broker fees: USD $249 or 5% of the vehicle’s sale price (whichever is greater), plus Copart fees.

4.3 Security Deposit

To bid in auctions, the buyer must maintain at all times a minimum security deposit of USD $600 in their account with Inloher. This deposit is not applied to the vehicle purchase price unless Inloher, at its sole discretion, uses it to cover:

  • Cancellation penalties.
  • Administrative or banking fees.
  • Copart fines.
  • Storage fees.

The USD $600 deposit allows bidding up to a maximum of USD $6,000. For higher bids, the deposit must increase by USD $100 for every additional USD $1,000. To bid on multiple vehicles simultaneously, a separate USD $600 deposit per additional vehicle is required.

The security deposit is 100% refundable, provided the user has no outstanding debts with Inloher Corp. The user can request a refund of the security deposit directly from the website salvagereseller.com, specifically in the security deposits section, by sending an email to [email protected], or by calling 954-671-0160. The refund will be processed within a maximum of 3 business days from the request, provided no outstanding charges exist.

4.4 Automatic Renewals

By registering for the Monthly or Annual plans, the buyer expressly authorizes Inloher to automatically charge the renewal fee to the registered payment card. If the buyer does not wish to continue, they must cancel the subscription before the renewal date. Registration and renewal fees are final and non-refundable.

4.5 Membership Revocation

Inloher may suspend or revoke a buyer’s membership in the event of:

  • Non-payment of fees or deposits.
  • Violation of these Terms.
  • Abusive, threatening, or fraudulent conduct toward Inloher, Copart, or their personnel.
  • Failure to maintain the security deposit for more than 2 business days.

Revocation does not entitle the buyer to refunds of registration or renewal fees.

4.6 Anti-Chargeback Policy

All membership fees, renewals, broker fees, and administrative charges are final and non-refundable.

In the event a buyer disputes a legitimate charge through their bank or card issuer (“chargeback”), Inloher may:

  • Immediately suspend or cancel the buyer’s account.
  • Retain all or part of the security deposit to cover the disputed amounts.
  • Charge the buyer all costs and fees associated with the dispute process, including bank fees, administrative expenses, and reasonable legal fees.

By accepting these Terms, the buyer expressly waives the right to dispute valid charges related to their membership, renewals, or transactions conducted through Inloher.

5. Buyer Obligations

5.1 Nature of the Seller

The buyer acknowledges and agrees that, by using SalvageReseller.com and placing bids in Copart auctions through the Site, they are purchasing vehicles from Inloher Corp, not from Copart. All invoices, ownership documents, and contractual communications are issued exclusively by Inloher. Copart acts solely as the auctioneer, while Inloher is the contractual seller and responsible for invoicing the buyer.

5.2 As-Is, Where-Is Sale

All vehicles are sold strictly on an “As-Is, Where-Is” basis (as is, where they are), with all faults, visible or hidden damages, and without any warranty. This includes an express waiver of:

  • Warranty of quality, merchantability, or mechanical condition.
  • Warranty of fitness for a particular purpose.
  • Warranty of accuracy in description, images, listing, odometer condition, or title history.

The buyer understands that Inloher provides no express or implied warranties and will not be liable for hidden defects, prior repairs, odometer discrepancies, structural issues, mechanical failures, transportation damages, or any differences between the descriptions on the Site and the vehicle’s actual condition.

5.3 Inspection Responsibility

It is the buyer’s sole responsibility to inspect and verify the vehicle before bidding. The buyer must:

  • Inspect the vehicle in person or through a trusted third party.
  • Review vehicle history reports (including NMVTIS or equivalent services).
  • Analyze photos, notes, and descriptions available on the Site, understanding they are for reference only and not warranties.

The buyer agrees that their bids are not based solely on information published by Inloher or Copart but on their own research and judgment.

5.4 Sales Taxes

The buyer is responsible for paying all applicable sales taxes in accordance with current legislation. Inloher will collect and remit the applicable tax based on:

  • The Florida rate (7%) when applicable.
  • The buyer’s state of residence rate for interstate transactions, up to a maximum of 7%.

The buyer is responsible for providing valid tax exemption documentation at the time of purchase.

5.5 Account Security

The buyer is responsible for maintaining the confidentiality of their login credentials (username and password) and all activities conducted through their account.

  • Any bid, purchase, or transaction made from their account will be considered valid and binding.
  • Inloher will not be liable for losses resulting from unauthorized account use if the buyer fails to promptly notify Inloher of suspected unauthorized access.
  • The buyer agrees to log out after each use and to immediately notify Inloher of any suspected unauthorized access.

6. Payments and Fees

6.1 Full and Immediate Payment

The buyer agrees to pay the full amount for each awarded vehicle, which includes:

  • The final auction closing price.
  • Applicable sales taxes.
  • Inloher’s broker fees based on the active membership plan.
  • Copart fees and other associated charges.

Deadline: Payment must be received within three (3) business days, including the auction day. If payment is not received within this period, a late payment fee of USD $50 per vehicle will apply, plus storage fees. If payment is not received within seven (7) calendar days, the sale will be canceled, the deposit will be forfeited, and the vehicle may be relisted.

Accepted Methods: All payments must be made exclusively to Inloher Corp via bank wire transfer (for vehicle payments and security deposits), credit card through Stripe (for security deposits and memberships), or PayPal (for memberships only). Vehicle payments cannot be made by credit card, without exception. Cash, personal checks, Zelle, Western Union, or direct payments to Copart are not accepted.

6.2 Credit Card Payments and Bank Transfers

  • Credit Card Payments (Stripe): If the buyer chooses to pay their membership or security deposit by credit card, a 2.9% convenience fee will be added to the transaction total. This fee reflects the processing cost charged by Stripe and is not profit for Inloher. The convenience fee will be clearly displayed before payment confirmation. In case of a refund, this fee is non-refundable, as Stripe does not refund its fees.
  • Bank Transfers: The buyer may opt to pay by bank wire transfer. Inloher does not charge additional fees for this method. However, transfers may take 1 to 4 business days to clear, depending on the bank, weekends, or holidays. Access to bid and participate in auctions will only be enabled after full funds clearance.
  • Risk Notice: By choosing a bank transfer, the buyer understands and accepts that access may be delayed and that payment will not be considered received until the funds are fully cleared. Inloher will not be liable for delays attributable to banks or intermediaries.

6.3 Inloher Transaction Fees

  • Free Membership: USD $299 or 10% of the vehicle’s sale price (whichever is greater), excluding Copart fees.
  • Monthly Membership: USD $249 or 7% of the vehicle’s sale price (whichever is greater), excluding Copart fees.
  • Annual Membership: USD $249 or 5% of the vehicle’s sale price (whichever is greater), excluding Copart fees.
  • Canadian Residents for Vehicles Located in Canada: USD $350 or 5% of the vehicle’s sale price (whichever is greater).

Inloher reserves the right to modify these fees at any time with prior publication on the Site.

6.4 Copart Buyer Fees

The buyer agrees to pay Copart’s fees for each vehicle, as per the applicable tables.

6.6 Other Additional Fees

  • Gate Fee: USD $79 (clean title), USD $95 (non-clean title).
  • Document Processing: USD $99.
  • Environmental Fee: USD $15.
  • Copart Postal Shipping: USD $20.
  • Inloher Postal Shipping: USD $35 (certified within the U.S.).

6.7 Penalties for Non-Compliance

  • USD $300 for vehicles < USD $10,000.
  • USD $500 for vehicles between USD $10,001 and USD $20,000.
  • USD $1,000 for vehicles > USD $20,001.

6.8 Authorization of Charges

The buyer authorizes Inloher to charge their card for any outstanding amounts (fees, penalties, storage, legal costs).

7. Vehicle Removal, Transportation, and Storage

7.1 Removal Authorization

The buyer may remove a vehicle only after Inloher and Copart issue the Vehicle Release Authorization. No vehicle may be removed without this document.

7.2 Removal Deadline

The buyer must remove the vehicle within three (3) calendar days following the auction, including the sale day.
  • Day 1: Auction day.
  • Days 2 and 3: Additional free days.

7.3 Storage Fees

Starting on the fourth day, daily storage fees per vehicle will apply, as per the following table:

These fees are imposed by Copart and are the buyer’s sole responsibility. They apply even if the fourth day falls on a weekend or holiday.

7.4 Special Rule for “Buy It Now”

For purchases made through the “Buy It Now” option:

  • The buyer must pay for the vehicle on the same day of purchase.
  • If payment is not made on the same day, a USD $50 late payment fee will apply.
  • Storage fees begin the day after purchase, with no additional free period.

7.5 Transportation

Vehicle transportation and removal are the buyer’s sole responsibility. Inloher does not directly offer transportation services nor is liable for damages, losses, or delays caused by third-party carriers.

  • The buyer must coordinate vehicle removal with an authorized carrier.
  • Inloher provides access to carriers through a collaboration with www.comparethecarrier.com, but all contracts will be an independent relationship between the buyer and the carrier.
  • Any transportation-related claims must be submitted directly to the carrier.

7.6 Vehicle Abandonment

If a vehicle is not removed within thirty (30) calendar days following the auction, it will be considered abandoned. In such cases, Inloher and/or Copart may dispose of the vehicle in accordance with applicable law to recover storage, removal, and other outstanding costs. The buyer remains responsible for any balance not covered by the vehicle’s disposal.

7.7 Liability Waiver at Yards

The buyer and their guests waive any claims against Inloher or Copart for injuries, damages, or losses occurring during visits or vehicle removals at Copart facilities. The buyer assumes all risks when entering Copart yards or hiring third parties for vehicle removal or transportation.

8. Titles and Registration

8.1 Titling in Florida

All vehicles purchased through the Site with transferable documentation will be titled in the State of Florida under the name of the buyer registered with Inloher.

  • Titles may be clean, destruction, or salvage, as applicable.
  • Under no circumstances will Inloher issue titles in the name of third parties other than the buyer.
  • If there is any outstanding balance on the buyer’s account, Inloher may withhold the title’s delivery until all obligations are settled. Inloher may also withhold it in case of investigations, payment disputes, or requests from competent authorities.

8.2 Title Delivery Timeline

Inloher will manage the receipt and reassignment of titles within an estimated period of thirty (30) business days from the auction date.

This timeline is approximate and may vary due to factors beyond Inloher’s control, such as:

  • Internal processes of the DMV or other state agencies.
  • Errors or delays in information provided by the original seller.
  • Administrative closures, holidays, or postal delays.

Inloher will not be liable for delays attributable to government authorities, Copart, or third parties.

8.3 State Restrictions

Due to regulatory provisions, the following restrictions apply to purchases:

  • Kansas and Missouri: Buyers may not bid on or purchase vehicles located in these states through our website.
  • Michigan: Buyers may not purchase vehicles with salvage titles; only vehicles with clean titles may be purchased.
  • Colorado and Wisconsin: Buyers may not participate in live auctions for vehicles with special titles (parts, junk, or destruction certificates). Only preliminary bids may be submitted.

8.4 Incorporation by Reference of Copart Terms

Copart’s Terms, Conditions, and Policies are incorporated by reference and form an integral part of this contract with respect to auction rules, cancellations, relistings, fees, storage, yard access, safety measures, and other operational aspects. In case of a discrepancy between Copart’s Terms and these Terms, Copart’s provisions shall prevail to the extent strictly necessary to comply with its operational rules.

8.5 NMVTIS Compliance

The buyer acknowledges that Inloher complies with federal regulation 49 U.S.C. § 30501 et seq., reporting transactions to NMVTIS when applicable. Inloher is not responsible for information previously recorded in this system or for the consequences that the vehicle’s total loss, salvage, or history status may have for the buyer.

9. Auction Policies

9.1 Bid Rejection

Copart reserves the right to reject or invalidate any bid at any time and for any reason, including system errors, suspected fraud, non-compliance with these Terms, or Copart’s internal policies. Copart’s decision on bid validity is final and binding.

9.2 Sale Cancellation

Copart and Inloher may cancel or postpone the sale of any vehicle, even after bids have been received, for reasons such as errors in vehicle information, withdrawal from inventory by the seller’s decision, or circumstances beyond their control. In such cases, Inloher will not be liable for losses, damages, or costs incurred by the buyer.

9.3 Bid Ties

In the event of a tie between a preliminary bid and a live bid for the same amount, the live bid takes precedence. To avoid losing in a tie, the buyer may activate the automatic increment features described in the following sections.

9.4 Automatic Bid Increment (“Bid Increaser”)

The buyer may authorize an automatic increase of their maximum bid in case of a tie. With this option, if another bidder matches their maximum bid, the system will raise their bid by one pre-established increment, keeping them as the highest bidder up to their maximum limit.

9.5 BID4U System

Copart’s BID4U system allows the buyer to enter a maximum bid before the live auction. Copart will automatically increase bids in the minimum established increments until reaching the buyer’s maximum amount. BID4U operates in both the preliminary and live auction stages.

9.6 Vehicles Pending Approval

Some vehicles are sold subject to seller approval. During this period, which may last up to three (3) business days, the buyer may not remove the vehicle. The sale becomes final only when Copart confirms approval. Inloher will not be liable for delays in this process, as they depend solely on the seller’s decision.

9.7 Irrevocable Bids

All bids, both preliminary and live, are irrevocable. Once entered into Copart’s system, they cannot be withdrawn or reduced under any circumstances. The buyer acknowledges that each bid represents a legally binding commitment to purchase the vehicle if awarded.

10. State-Specific Agreements

10.1 General Restrictions

In addition to the limitations set forth in Section 8, the buyer acknowledges and accepts that certain states have specific regulations restricting purchases through brokers like Inloher. These restrictions are an integral part of these Terms.

10.2 California Purchase Agreement

Due to California Department of Motor Vehicles (DMV) regulations, the following mandatory conditions apply to all purchases of vehicles physically located in California:

a) Prohibition of Direct Bidding: California residents may not bid on or purchase vehicles located in California through SalvageReseller.com.

b) Mandatory Transportation Out of California: All vehicles purchased in California must be transported out of the state. The buyer may not pick up the vehicle directly from Copart’s facility or independently hire a carrier to retrieve it in California.

c) Carrier Coordination: Inloher will coordinate with authorized transportation companies for vehicle removal and shipping out of the state, always at the buyer’s cost and risk. Any price estimates provided by Inloher are for reference only and do not constitute a final price commitment.

d) Independent Carrier Relationship: Transportation is a third-party service. Inloher assumes no liability for damages, losses, delays, or non-compliance arising from transportation services. All claims must be submitted directly to the contracted carrier.

e) Storage in California: If a vehicle in California is pending seller approval, there is a delay in carrier logistics, or the buyer delays payment or removal, applicable storage fees will be the buyer’s sole responsibility.

f) Transportation Processing Fee: An additional USD $35 fee per vehicle will be charged to cover administrative costs for logistics coordination in California.

g) Non-Compliance: Failure to comply with any of these provisions will result in immediate cancellation of the purchase, retention of the security deposit, account suspension, and possible permanent termination of membership.

11. Liability Waiver and Indemnification

11.1 Waiver at Copart Yards

The buyer and any accompanying guests agree that access to Copart facilities is at their own risk. Inloher and Copart will not be liable for injuries, accidents, losses, or damages to persons or property occurring at said facilities.

11.2 Vehicle Condition

All vehicles are sold “As-Is, Where-Is” (as is, where they are), without any express or implied warranty. Inloher specifically disclaims:
  • Any implied warranty of merchantability.
  • Any warranty of fitness for a particular purpose.
  • Any representation regarding the accuracy of photographs, descriptions, mileage, title history, or mechanical condition.

The buyer acknowledges that it is their sole responsibility to inspect vehicles before bidding and that they may not file claims based on visible or hidden defects, description errors, or discrepancies in published information.

11.3 Transportation

Inloher is not liable for damages, losses, delays, or costs related to vehicle transportation, even when recommending third-party carriers or coordinating removal on the buyer’s behalf. All relationships with transportation companies will be independent between the buyer and the carrier, and any claims must be submitted directly to the latter.

11.4 Titling and Registration Procedures

Inloher does not guarantee that a vehicle can be registered or titled in any state or country. Laws vary by jurisdiction and may require additional inspections, emissions certificates, or title classification changes. The buyer assumes all risks and costs associated with titling and registration.

11.5 Buyer Indemnification

The buyer agrees to indemnify and hold harmless Inloher, Copart, and their respective directors, employees, agents, and affiliates from any claims, demands, losses, damages, penalties, or expenses (including reasonable legal fees) arising from:

  • Injuries or damages caused during access to Copart facilities.
  • The use, transportation, storage, resale, or disposal of vehicles purchased.
  • The buyer’s non-compliance with these Terms or applicable law.
  • Third-party claims related to the purchase or resale of vehicles acquired through the Site.

11.6 Limitation of Liability

Inloher’s total liability to the buyer, for any reason arising from these Terms, shall be limited to the lesser of:

  • USD $500, or
  • The total amount of broker fees actually paid by the buyer to Inloher in the transaction subject to the claim.

In no event shall Inloher or Copart be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, profits, reputation, or vehicle use, even if advised of the possibility of such damages.

11.7 Waiver of State Protection Provisions

To the extent permitted by applicable law, the buyer expressly waives protections under any provision similar to California Civil Code §1542, which states that a general release does not extend to claims unknown to the creditor at the time of granting the release.

12. Marketing Materials and Communications

12.1 Express Consent

By registering on the Site and accepting these Terms, the buyer acknowledges and expressly authorizes Inloher to send communications via email, postal mail, text messages (SMS), or phone calls related to:

  • Promotions, discounts, and special offers.
  • Information about memberships and renewals.
  • Services related to vehicle purchases and auctions.
  • Satisfaction surveys and market research.

12.2 Opt-Out Right

The buyer may request to stop receiving promotional communications (“opt-out”) at any time using the unsubscribe mechanisms included in each message or by directly contacting Inloher.
Notifications of a legal, transactional, or account security nature cannot be canceled, as they are necessary for Inloher’s contractual and regulatory obligations.

12.3 Regulatory Compliance

Inloher commits to complying with all applicable regulations regarding commercial communications, including:

  • The CAN-SPAM Act of the United States.
  • The Telephone Consumer Protection Act (TCPA) regarding calls and text messages.
  • Any applicable state or federal regulations on privacy and direct marketing.

12.4 Electronic Communications

The buyer agrees that all communications, notices, and documents sent electronically will have the same legal validity as if delivered in paper form.

13. Changes to the Terms

13.1 Modification Authority

Inloher may modify, update, or replace these Terms, in whole or in part, at its sole discretion.

13.2 Effective Date

Modifications will take effect from the date of their posting on the Site, unless a different effective date is expressly indicated.

13.3 Notification of Changes

When material changes are introduced, Inloher will endeavor to notify buyers via:

  • A prominent notice on the Site, and/or
  • An email sent to the buyer’s registered email address.

13.4 Implied Acceptance

Continued use of the Site and services after the effective date of changes constitutes full acceptance of the new Terms.

13.5 Right to Cancel

If the buyer disagrees with the modifications, they may cancel their account and membership at any time. Cancellation does not entitle the buyer to a refund of previously paid fees, unless otherwise required by law.

14. General Provisions

14.1 Force Majeure

Inloher will not be liable for breaches or delays in fulfilling its obligations due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, fires, floods, strikes, riots, wars, terrorist acts, pandemics, third-party system failures, power outages, or telecommunications interruptions.

14.2 Assignment

The buyer may not assign or transfer their rights or obligations under these Terms without Inloher’s prior written authorization. Inloher may assign its rights and obligations, in whole or in part, without the buyer’s consent.

14.3 No Waiver

Inloher’s failure or delay in exercising any right under these Terms shall not constitute a waiver nor prevent its future exercise.

14.4 Electronic Communications

The buyer agrees to receive all notifications, communications, invoices, titles, and documents electronically. Such communications will have the same validity as if delivered in paper form.

14.5 Headings

The titles and headings used in these Terms are included for convenience only and do not affect the contract’s interpretation.

15. Applicable Law, Jurisdiction, and Severability

15.1 Applicable Law

These Terms and any transactions conducted through the Site shall be governed and interpreted in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

15.2 Residual Jurisdiction

Any dispute not subject to arbitration under Section 2 will be resolved exclusively in the state or federal courts located in Broward County, Florida. Both parties irrevocably consent to the exclusive personal jurisdiction of said courts.

15.3 Waiver of Forum Non Conveniens

The buyer expressly waives any objection based on the doctrine of “forum non conveniens” or equivalent and agrees that Broward, Florida, is the appropriate venue for resolving any non-arbitrable dispute.

15.4 Severability

If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent court or arbitrator, the remaining provisions will remain in full force and effect. In such cases, the parties agree to replace the invalid provision with a valid one that most closely reflects the original intent.

15.5 Prevalence of English Text

In case of any discrepancy between the Spanish and English versions of these Terms, the English version shall prevail as the official and binding text.

15.6 Entire Agreement

These Terms constitute the complete and exclusive agreement between Inloher and the buyer regarding the use of the Site and supersede any prior understanding, communication, or agreement, whether verbal or written, related to the same subject.
